Commercial Metals Company Announces Proposed Private Offering of $350 Million of Senior Notes due 2026

Commercial Metals Company announced today that it is offering to sell, subject to market and other conditions, $350 million aggregate principal amount of Senior Notes due 2026  in an offering exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act").

Final terms for the offering of the Notes will be determined at the time of pricing. The Notes will be CMC's senior unsecured obligations and will rank equally with all of its existing and future senior unsecured indebtedness. CMC intends to use the net proceeds from the offering to finance a portion of the purchase price of its previously announced acquisition of certain U.S. rebar steel mill and fabrication assets from Gerdau S.A. (the "Business"). If the acquisition of the Business does not close for any reason, CMC intends to use the net proceeds of the offering for general corporate purposes. In such event, CMC will also have the right, but not the obligation, to redeem all of the Notes at a redemption price equal to 100% of the initial offering price, plus accrued and unpaid interest, if any, to, but excluding, the date of redemption.

There can be no assurance that the offering of the Notes will be completed. The offering of the Notes is not contingent upon the closing of the acquisition of the Business.

The Notes will be sold only to qualified institutional buyers in the United States in accordance with Rule 144A under the Securities Act and to persons outside the United States in accordance with Regulation S under the Securities Act. The Notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act and applicable state or other jurisdictions' securities laws. CMC intends to enter into a registration rights agreement in connection with the Notes offering pursuant to which CMC will file a registration statement covering the future exchange or resale of the Notes.
